Corporate Paralegal-Emerging Companies & Venture Capital (With SF law firm)

Summons Legal Staffing, Inc. is excited to partner with a SF law firm client seeking experienced Corporate Paralegal-Emerging Companies & Venture Capital.  This is a wonderful opportunity to join a stellar law firm.  BS/BA + ABA approved Paralegal Certificate required (or otherwise compliant with B&P 6450).  7 years of experience is required for this hybrid position (3 days on site in SF).  Compensation:  $122k-$168k.  Here’s what we are looking for:

-7 years of previous experience supporting attorneys working with EC/VC.  Works includes debt equity, SAFE financings, IPOs, M&A and other transactional matters.

-Create and file charter documents including formations and update Cap Tables (CARTA) and corresponding documents.  Update stock ledgers, option plans and transactions.

-Perform due diligence and prepare for Closings including preparing Closing Check Lists.  Attend Closings.

-Perform UCC searches, order charter documents, draft resolutions, prepare signature pages (DocuSign), and manage documents in NetDocs. 

-Technology:  MS Office Suite, CARTA.
